Terms of service
Last updated 24 September 2026
By using thinkfiling.com or buying a service from us, you agree to these terms. They explain what we do, what we need from you, what you pay, and what happens if something goes wrong.
1. About these terms
These terms are a contract between you and [Legal entity name], [registered address], India, which operates thinkfiling.com ("ThinkFiling", "we", "us"). "You" means the person who uses the site or places an order, and the business you order for.
These terms apply together with our [Privacy Policy] and [Refund Policy]. If you do not agree with them, please do not use the site or buy our services. These terms are an electronic record under the Information Technology Act, 2000 and need no physical signature.
2. Our role
ThinkFiling is a technology platform, not a firm of chartered accountants, company secretaries or advocates. We manage your order, collect and check your documents, prepare drafts, track deadlines and keep you updated.
Work that Indian law reserves for practising professionals, such as certifying and filing e-forms with the MCA, is done by independent Chartered Accountants and Company Secretaries holding a valid Certificate of Practice whom we engage. We name the professional handling your case in your client portal. They are responsible for their professional certification under the rules of their Institute (ICAI or ICSI).
Nothing on this website is legal, tax or financial advice. Our guides and articles are general information. For advice on your particular situation, speak to a qualified professional.
3. Eligibility and your account
You must be at least 18 and able to enter a binding contract under the Indian Contract Act, 1872. If you order on behalf of a business, you confirm that you are authorised to do so.
You are responsible for keeping your login details secret and for everything done through your account. Tell us at once at [support@thinkfiling.com] if you think someone else has used it.
4. Services and scope
We offer company and LLP incorporation, annual compliance retainers, and related one-time services such as registrations, director changes and event-based filings. Each service page lists exactly what is included, what is not, and the price. That listing forms part of your order.
Anything not listed is outside the scope of your order. If you need extra work, we will quote it separately before starting, and you can decide whether to go ahead.
We may add, change or stop offering services. Changes do not affect orders already paid for.
5. Your responsibilities
The accuracy of every filing depends on what you give us. You agree to:
- Provide true, complete and current information and genuine documents for yourself and every other director, partner, shareholder or subscriber
- Get the consent of every other person whose details you give us
- Respond to our requests for documents, OTPs, DSC verification and approvals promptly
- Review drafts and forms before you approve them for filing
- Keep your registered office, contact details and statutory records up to date
- Pay government fees, penalties and additional fees arising from facts you did not disclose or from delays on your side
You are responsible for your company's compliance decisions and for any consequence of false or misleading information. We may refuse or stop work if documents appear forged or information appears false, and we may report this where the law requires.
6. Fees and payment
Our prices are flat fees. Each price shows two parts:
- Professional fee: what ThinkFiling and the professional charge for the work. GST at 18% applies to this part and is shown at checkout.
- Government and third-party fees: MCA filing fees, stamp duty, DSC charges and similar amounts we pay on your behalf at actual cost. These vary by state, authorised capital and other factors, and we show them before you pay.
You pay in full, in Indian rupees, before we start work, through Razorpay or another method we offer. We will issue a GST-compliant tax invoice. If a government fee turns out higher than estimated because of facts you gave us, such as higher authorised capital, we will ask you to pay the difference before filing. If it turns out lower, we refund the difference.
Annual compliance retainers are billed for the period stated on the service page. Refunds follow our [Refund Policy].
7. Timelines and government dependencies
The timelines on our site are estimates of our own working time. Approvals, name reservations, certificates and registrations are granted by government authorities, which control their own processing times and decisions.
We do not guarantee that any authority will approve a name, application or filing, or do so by a particular date. MCA portal outages, resubmission requests and changes in law or procedure can cause delays that are outside our control. When an authority asks for changes, we will make them within the scope of your order at no extra professional fee.
8. Confidentiality, data and intellectual property
We and the professionals we engage keep your information and documents confidential and use them only to deliver your service, except where the law requires disclosure. How we handle personal data is set out in our [Privacy Policy].
The ThinkFiling name, logo, website, software, templates and content belong to us or our licensors. You may use them only to access our services. Documents we prepare for your company, such as your MoA, AoA and board resolutions, are yours to use for your business once you have paid for them.
9. Prohibited use
You must not:
- Use our services to form or run an entity for money laundering, fraud, tax evasion, or any other unlawful purpose
- Submit forged documents or impersonate another person
- Try to access other users' data, or probe, disrupt or overload our systems
- Copy, scrape or resell our content, templates or services without our written permission
10. Disclaimers, liability and indemnity
We will provide our services with reasonable skill and care. Apart from that, the website and services are provided "as is", and we make no other promise about outcomes, including government approvals or tax results.
To the extent the law allows:
- Our total liability to you for any claim about an order is limited to the professional fee you paid for that order. Government fees paid to authorities cannot be recovered from us.
- We are not liable for indirect or consequential losses, such as lost profits, lost business opportunities or loss of data.
- We are not liable for penalties, late fees or losses caused by inaccurate information from you, your delay in providing documents or approvals, government delays or decisions, or events beyond our reasonable control.
Nothing in these terms limits liability for fraud, or any liability or consumer right that cannot be limited under Indian law, including the Consumer Protection Act, 2019.
You agree to compensate us for losses, penalties and reasonable legal costs we suffer because of false information or documents you provided, or your breach of these terms.
11. Suspension and termination
You may close your account or cancel a service at any time. Refunds follow our [Refund Policy].
We may suspend or end your access, and stop work on an order, if you breach these terms, provide false information or documents, do not pay, or if continuing would break the law or a professional's code of conduct. We will tell you why unless the law prevents us. On termination, we will give you copies of documents and filings completed so far.
Sections 8, 10 and 12 survive termination.
12. Law, disputes, changes and contact
These terms are governed by the laws of India. Please contact us first so we can try to resolve any complaint. If it is not resolved within 30 days, either side may refer the dispute to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Hyderabad and conducted in English. Subject to that, the courts at Hyderabad, Telangana have exclusive jurisdiction. This does not take away any right you have to approach a consumer commission.
We may update these terms. We will post the new version here with a new date and, for material changes, email you before they take effect. Orders already paid for continue under the terms in force when you placed them.
If any part of these terms is found unenforceable, the rest still applies.
