How to register a Private Limited Company in Andhra Pradesh: the SPICe+ process, the ROC that covers the state, AP-specific registrations, timelines and costs.

Andhra Pradesh has a growing base of new companies, from IT and services firms in Visakhapatnam to manufacturers around Sri City and businesses in Vijayawada, Guntur and Tirupati. Incorporating a Private Limited Company is a central process run by the Ministry of Corporate Affairs, so the core steps are the same as anywhere else in India. What changes is the Registrar that looks after your company once it exists, and the handful of state and municipal registrations that follow. This guide covers both.

Why Founders Are Incorporating in Andhra Pradesh

The state offers industrial parks and land through APIIC, a single desk portal for industrial approvals, and clusters for electronics, pharma, food processing and ports-led manufacturing along its long coastline. Visakhapatnam is developing as a hub for IT and services. None of this changes the MCA incorporation process, since SPICe+ is a central filing, but it does decide which state approvals and incentives your company may need after incorporation.

The Registration Process (Same Core Steps, Wherever You Incorporate)

  1. Name reservation: apply for your company name through SPICe+ Part A on the MCA portal. Names are checked against existing companies and trademarks across India, not just in Andhra Pradesh.
  2. Digital signature certificate and DIN: every proposed director needs a DSC to sign the filings, and a DIN if they don't already have one, which can be applied for within SPICe+.
  3. MOA and AOA: the memorandum and articles of association set out what the company can do and how it's run. They're filed electronically with SPICe+ Part B.
  4. SPICe+ filing: a single integrated form handles incorporation, PAN, TAN, EPFO, ESIC, a bank account and, optionally, GST registration.
  5. Certificate of incorporation: once the application is approved, the company receives its certificate of incorporation, with its CIN, PAN and TAN.

New incorporations are processed centrally by the MCA's Central Registration Centre. After that, a company with its registered office in Andhra Pradesh falls under the Registrar of Companies, Vijayawada, which handles its ongoing filings and compliance.

Registrations Specific to Having Your Office in Andhra Pradesh

Once the company is incorporated, a few state-level registrations apply if its registered or operating office is in Andhra Pradesh:

  • Shops and establishments registration: the Andhra Pradesh Shops and Establishments Act applies to commercial establishments in the state, including a company's office. Registration is done online through the state Labour Department, generally within 30 days of starting operations.
  • Trade licence: if the office is within a municipal corporation or municipality, such as Greater Visakhapatnam, Vijayawada, Guntur or Tirupati, a trade licence from the local body is usually needed to operate from the premises.
  • Professional tax: Andhra Pradesh levies professional tax, administered by the state Commercial Taxes Department. The company needs an enrolment certificate for its own liability, and a registration certificate once it deducts professional tax from employees' salaries.
  • Stamp duty on MOA and AOA: stamp duty on incorporation documents is a state subject. Andhra Pradesh's rates apply when the registered office is in the state, and the duty is paid electronically as part of SPICe+, based on the authorised share capital.
  • Industrial approvals: manufacturing units may need clearances such as pollution control consents, factory licences and building approvals. Andhra Pradesh routes many of these through its single desk portal.

Timeline and Cost

For most founders, incorporation itself, from name reservation to certificate of incorporation, takes about 7 to 10 working days when the documents are in order and the name is approved first time. The state registrations above are usually completed in the weeks after incorporation, since they need the company to exist and, in some cases, proof of the office address in its name.

Costs come in two parts: professional fees for handling the filing, and government fees, which depend on the authorised share capital and, for stamp duty, on the state. Andhra Pradesh's stamp duty can only be quoted exactly once the authorised capital is known, so any quote that doesn't ask for it first isn't a real figure.

Common Questions

Do I need a physical office in Andhra Pradesh to register there?

Yes. The registered office must be a real, verifiable address in the state. A residential address can be used, with a no-objection certificate from the owner and a recent utility bill.

Can I move an existing company's registered office to Andhra Pradesh later?

Yes. Moving a registered office from another state is a separate process, which needs approval from the Regional Director as well as filings with the ROC.

Is GST registration mandatory at incorporation?

No. SPICe+ offers GST registration as an optional add-on, but it isn't compulsory unless the company crosses the turnover threshold or falls into a category that must register regardless of turnover, such as businesses making inter-state supplies of goods.

Registering in Andhra Pradesh isn't harder or slower than in any other state. The core process is identical everywhere, because it's an MCA filing. The difference lies in the state and municipal registrations that follow, and getting those right early avoids compliance gaps later.
