M&A deals follow national law, but when a Telangana company is involved, some local factors can affect the timeline and cost. This guide covers them.

Schemes Before NCLT Hyderabad

Mergers and demergers of companies registered in Telangana (and Andhra Pradesh) are approved by the Hyderabad bench of the National Company Law Tribunal. The process involves applications, meetings of shareholders and creditors, notices to regulators, and hearings, and typically takes several months or more. Where both companies are in different states, each tribunal's jurisdiction needs to be considered.

Fast-track Mergers

Eligible companies — such as certain small companies, holding and wholly owned subsidiaries, and startups — can merge through the fast-track route, with approval from the Regional Director instead of the NCLT, which is usually quicker.

Stamp Duty

Share transfers, business transfer agreements and orders sanctioning schemes can attract stamp duty. The rates and basis depend on the state and the instrument. Where Telangana property moves in the deal, Telangana's stamp duty and registration requirements apply.

Industrial Land

Many Telangana businesses operate from land allotted by TGIIC (previously TSIIC) or other agencies. Allotment terms often restrict transfer, or require approval for a change in the company's control or a transfer of the unit. These approvals should be built into the deal timeline.

State Incentives

Incentives granted under Telangana's industrial policies may have conditions that a sale or restructuring could breach, potentially triggering a claw-back. Diligence should identify them.

Moving Registrations

In a business transfer, the buyer typically needs its own GST registration, Professional Tax registration, Shops and Establishments registration, trade licence and sector licences for the Telangana operations, and must transfer or re-obtain other approvals.

Pharma and Regulated Sectors

Telangana's pharma deals involve drug licences and regulatory approvals that may need to be transferred or re-obtained, affecting timing.
