LLP Registration in Telangana: What Founders in Hyderabad Need to Know

An LLP is registered under a central law, but a few things change when your business is based in Telangana: the Registrar, the stamp duty on your LLP agreement.

A Limited Liability Partnership in India is created under a central law, the LLP Act, 2008, and registered online through the Ministry of Corporate Affairs (MCA). That is true whether your office is in Hyderabad, Mumbai or Bengaluru. But a few parts of the journey are decided by the state where your LLP is based, and it pays to know which ones before you begin.

This guide focuses on those Telangana-specific parts. For the general process, features and annual filings that apply everywhere.

Why Founders in Telangana Choose an LLP

Hyderabad is one of India's major hubs for IT services, life sciences, pharma and a fast-growing startup scene, with well-known support such as T-Hub. Many businesses that set up here are consultancies, software and services firms, agencies and professional practices, exactly the kind of business the LLP structure suits:

  • Partners' personal assets are generally protected, since liability is limited to their agreed contribution.
  • There is no minimum capital requirement.
  • Compliance is lighter than for a company, with no board meetings or annual general meetings.
  • Profit sharing and roles are set by the LLP agreement rather than by shareholding.

The main trade-off is fundraising. An LLP cannot issue shares, so if you expect to raise venture capital, a Private Limited Company is usually the better vehicle.

Which Registrar Handles LLPs in Telangana?

The Registrar of Companies (RoC) at Hyderabad has territorial jurisdiction over the whole State of Telangana, under an MCA notification dated 24 June 2014. In practice, an LLP whose registered office is in Telangana deals with the RoC Hyderabad for its incorporation and later filings, though you submit everything online through the MCA portal rather than visiting the office.

Registered Office Requirements

Your LLP needs a registered office address in India, and for a Telangana registration that address should be in the state. The usual requirements are:

  • A recent utility bill (electricity, water or gas) as address proof.
  • If the premises are owned, proof of ownership. If rented, the rent agreement and a no-objection certificate from the owner.

A residential property can generally be used as the registered office, provided you have the owner's NOC where it is not your own. This is helpful for home-based founders and small consultancies starting out in Hyderabad.

If you already have an LLP registered in another state and want to move it to Telangana, that is a change of registered office across states, which involves extra steps. Get professional advice before you do it.

The Registration Process, Applied to Telangana

The steps are the same as elsewhere in India:

  1. Obtain Digital Signature Certificates for the designated partners.
  2. Choose a name and check availability, or reserve it with RUN-LLP.
  3. File the incorporation form (FiLLiP) with the details of the partners, designated partners and the Hyderabad registered office.
  4. Receive the Certificate of Incorporation with your LLPIN.
  5. Execute the LLP agreement on stamp paper and file it in Form 3 within 30 days of incorporation.
  6. Open a bank account and complete GST and other registrations as needed.

Remember that at least two designated partners must be individuals, and at least one must be a resident of India, meaning someone who has stayed in India for at least 120 days during the financial year. Practitioners commonly quote about 10 to 15 working days for the whole registration, assuming the documents are in order and the Registrar raises no queries.

Stamp Duty on the LLP Agreement in Telangana

Stamp duty is a state subject, and it is the step where Telangana differs most from other states. Some states charge a percentage of your capital contribution. Telangana works on much simpler fixed amounts under the Telangana Stamp Act, so the cost is small compared with many other states.

One caution: the figures published online for Telangana are not consistent. Some sources list fixed amounts of ₹50, ₹100 or ₹200 depending on contribution, while others list ₹100 or ₹300. Because the amount can change and sources disagree, confirm the current duty with the Telangana Registration and Stamps Department, or ask the professional preparing your agreement, before you finalise. Pay it through e-stamping or on stamp paper as your advisor recommends, and keep the stamped agreement, because you need it for the Form 3 filing.

State-Level Registrations After Incorporation

Incorporation is only the start. Depending on what your LLP does, a few registrations sit with the state or local authorities:

Shops and Establishments. Businesses with an office or commercial premises in Telangana generally need to register under the state's Shops and Establishments law. One source notes that the employer must file the statement and fee within 30 days of the establishment starting work. Applicability, fees and the exact process depend on your size and activity, so confirm with the Labour Department or your advisor.

Professional tax. Telangana levies professional tax on employees' salaries, and employers who have staff are responsible for registering, deducting and paying it. Check the current slabs and the registration process with the state Commercial Taxes Department.

GST. GST registration depends on your turnover, the nature of your supplies and whether you make inter-state supplies, not on the state alone. If you register, you will be registered in Telangana against your Hyderabad address.

Sector-specific licences. Depending on your business, you may also need local trade licences from the municipal authority (such as the Greater Hyderabad Municipal Corporation) or professional and industry registrations.

Annual Compliance Is Central, Not State-Specific

After registration, the annual obligations are the same in Telangana as anywhere else, and they apply even if the LLP has no business:

  • Form 11 (annual return) by 30 May.
  • Form 8 (statement of account and solvency) by 30 October.
  • ITR-5 by 31 July, or 31 October if a tax audit applies.
  • Audit if turnover exceeds ₹40 lakh or partner contribution exceeds ₹25 lakh.

Late filing of Form 8 or Form 11 attracts an additional fee of ₹100 per day per form, with no upper limit. Because Telangana's own filings, such as professional tax returns and any Shops and Establishments renewals, run on separate calendars, a single shared compliance calendar is the easiest way to avoid missing one.

A Quick Checklist for Telangana Founders

  • Confirm you have at least two designated partners, one resident in India.
  • Arrange address proof and NOC for your Hyderabad registered office.
  • Verify the current Telangana stamp duty before you execute the LLP agreement.
  • File Form 3 within 30 days of incorporation.
  • Register under Shops and Establishments, professional tax and GST where they apply.
  • Put the Form 11, Form 8 and income tax dates in your calendar from day one.

Final Thoughts

For founders in Hyderabad and across Telangana, the LLP offers limited liability with modest paperwork and a low state-level cost of getting started. The registration itself follows the national process. The Telangana-specific work is small but real: the right registered office documents, a correctly stamped LLP agreement and the right local registrations.

Stamp duty, fees, thresholds and due dates change from time to time, so confirm current requirements with the MCA, the relevant Telangana state department, or a qualified Chartered Accountant or Company Secretary before acting.
