LLP Registration in Meghalaya: What Founders Need to Know

An LLP is registered under a central law, but a few things change when your business is in Meghalaya: the Registrar, the stamp duty and local registrations.

A Limited Liability Partnership in India is created under a central law, the LLP Act, 2008, and registered online through the Ministry of Corporate Affairs (MCA). That's true wherever your office is. But a few parts of the process depend on where your LLP is based, and it helps to know which ones before you begin.

This guide focuses on the parts that are specific to Meghalaya.

Why Founders in Meghalaya Choose an LLP

Meghalaya's businesses are concentrated in Shillong, with businesses in tourism, education, horticulture, food processing, mining-related services and trading. Many of the businesses that set up here are consultancies, agencies, traders, contractors and professional practices, which is exactly the kind of business the LLP structure suits:

  • Partners' personal assets are generally protected, since their liability is limited to their agreed contribution.
  • There's no minimum capital requirement.
  • Compliance is lighter than for a company, with no board meetings or annual general meetings.
  • Profit sharing and roles are set by the LLP agreement rather than by shareholding.

The main trade-off is fundraising. An LLP can't issue shares, so if you expect to raise venture capital, a Private Limited Company is usually the better choice.

The state's industrial and startup policies support local enterprise, and businesses in the North East may also qualify for central incentive schemes for the region. Shillong also hosts the Registrar of Companies for most of the region. None of this changes the MCA incorporation process, but it affects which approvals and incentives your LLP may need.

Which Registrar Handles LLPs in Meghalaya?

Incorporation applications are processed centrally by the MCA's Central Registration Centre. After that, an LLP whose registered office is in Meghalaya falls under the Registrar of Companies, Shillong, which covers most of the north-eastern states for its later filings. Everything is submitted online, so you won't need to visit either office.

Registered Office Requirements

Your LLP needs a registered office address in India, and for a Meghalaya registration that address must be in the state. The usual documents are:

  • A recent utility bill (electricity, water or gas) as address proof.
  • If the premises are owned, proof of ownership. If they're rented, the rent agreement and a no-objection certificate from the owner.

A residential property can generally be used as the registered office, as long as you have the owner's NOC where it isn't your own.

If you already have an LLP registered elsewhere and want to move it to Meghalaya, that's a change of registered office across states or union territories, which involves extra steps. Get professional advice before you start.

The Registration Process, Applied to Meghalaya

The steps are the same as everywhere else in India:

  1. Get digital signature certificates for the designated partners.
  2. Choose a name and check it's available, or reserve it with RUN-LLP.
  3. File the incorporation form (FiLLiP) with details of the partners, designated partners and the Meghalaya registered office.
  4. Receive the certificate of incorporation with your LLPIN.
  5. Sign the LLP agreement on stamp paper and file it in Form 3 within 30 days of incorporation.
  6. Open a bank account and complete GST and other registrations as needed.

At least two designated partners must be individuals, and at least one must be resident in India, meaning someone who has stayed in India for at least 120 days in the previous financial year. Practitioners commonly quote about 10 to 15 working days for the whole registration, assuming the documents are in order and the Registrar raises no queries.

Stamp Duty on the LLP Agreement in Meghalaya

Stamp duty is set by the state or union territory, and it's the step where locations differ most. In Meghalaya, the LLP agreement is stamped under the stamp law that applies there, and the duty usually depends on the partners' capital contribution.

Rates change from time to time, and figures published online aren't always current, so confirm the duty with the Meghalaya stamps and registration authority, or ask the professional preparing your agreement, before you sign. Keep the stamped agreement, because you'll need it for the Form 3 filing.

State-Level Registrations After Incorporation

Incorporation is only the start. Depending on what your LLP does, a few state and local registrations apply:

  • Shops and establishments: Meghalaya's shops and establishments law applies to commercial establishments in the state. Register with the Labour Department.
  • Professional tax: Meghalaya levies professional tax on salaries and on businesses, administered by the state Commercial Taxes or Taxation Department. The LLP needs an enrolment certificate for its own liability, and a registration certificate once it deducts professional tax from employees' salaries. Check the current slabs with the department, as they're revised from time to time.
  • GST: registration is compulsory once turnover crosses ₹20 lakh for both goods and services in Meghalaya, and for inter-state supplies of goods or selling through e-commerce platforms regardless of turnover. A business registered in Meghalaya gets a GSTIN starting with the state code 17.
  • Trade licence: an office in Shillong or another town may need a trade licence. In many areas, trading licences are issued by the autonomous district councils.
  • Sixth Schedule areas: much of Meghalaya is governed by autonomous district councils under the Sixth Schedule of the Constitution, which have their own rules on land and trading. Check the rules that apply to your location before signing a lease or buying property.

Annual Compliance Is Central, Not State-Specific

After registration, the annual obligations are the same in Meghalaya as anywhere else, and they apply even if the LLP has no business:

  • Form 11 (annual return) by 30 May.
  • Form 8 (statement of account and solvency) by 30 October.
  • ITR-5 by 31 July, or 31 October if a tax audit applies.
  • An audit if turnover exceeds ₹40 lakh or partners' contribution exceeds ₹25 lakh.

Filing Form 8 or Form 11 late attracts an additional fee of ₹100 per day per form, with no upper limit. Local filings, such as professional tax returns where they apply, run on separate calendars, so a single shared compliance calendar is the easiest way to avoid missing any of them.

A Quick Checklist for Meghalaya Founders

  • Confirm you have at least two designated partners, one resident in India.
  • Arrange address proof and an NOC for your registered office in Meghalaya.
  • Check the current stamp duty before you sign the LLP agreement.
  • File Form 3 within 30 days of incorporation.
  • Register for shops and establishments, professional tax and GST where they apply.
  • Put the Form 11, Form 8 and income tax dates in your calendar from day one.

Final Thoughts

For founders across Meghalaya, the LLP offers limited liability with modest paperwork. Registration follows the national process. The Meghalaya-specific work is small but real: the right registered office documents, a correctly stamped LLP agreement and the right local registrations.
