LLP Registration in Jammu and Kashmir: What Founders Need to Know
An LLP is registered under a central law, but a few things change when your business is in Jammu and Kashmir: the Registrar, the stamp duty and local registrations.
A Limited Liability Partnership in India is created under a central law, the LLP Act, 2008, and registered online through the Ministry of Corporate Affairs (MCA). That's true wherever your office is. But a few parts of the process depend on where your LLP is based, and it helps to know which ones before you begin.
This guide focuses on the parts that are specific to Jammu and Kashmir.
Why Founders in Jammu and Kashmir Choose an LLP
Jammu and Kashmir's businesses are concentrated in Srinagar and Jammu, with businesses in tourism and hospitality, horticulture, handicrafts, food processing, construction and a growing services sector. Many of the businesses that set up here are consultancies, agencies, traders, contractors and professional practices, which is exactly the kind of business the LLP structure suits:
- Partners' personal assets are generally protected, since their liability is limited to their agreed contribution.
- There's no minimum capital requirement.
- Compliance is lighter than for a company, with no board meetings or annual general meetings.
- Profit sharing and roles are set by the LLP agreement rather than by shareholding.
The main trade-off is fundraising. An LLP can't issue shares, so if you expect to raise venture capital, a Private Limited Company is usually the better choice.
Since becoming a union territory in 2019, Jammu and Kashmir has opened up to more outside investment, and central schemes for industrial development in the region offer incentives for eligible units. These don't change the MCA incorporation process, but they affect which approvals and incentives your LLP may apply for.
Which Registrar Handles LLPs in Jammu and Kashmir?
Incorporation applications are processed centrally by the MCA's Central Registration Centre. After that, an LLP whose registered office is in Jammu and Kashmir falls under the Registrar of Companies for Jammu and Kashmir for its later filings. Everything is submitted online, so you won't need to visit either office.
Registered Office Requirements
Your LLP needs a registered office address in India, and for a Jammu and Kashmir registration that address must be in the union territory. The usual documents are:
- A recent utility bill (electricity, water or gas) as address proof.
- If the premises are owned, proof of ownership. If they're rented, the rent agreement and a no-objection certificate from the owner.
A residential property can generally be used as the registered office, as long as you have the owner's NOC where it isn't your own.
If you already have an LLP registered elsewhere and want to move it to Jammu and Kashmir, that's a change of registered office across states or union territories, which involves extra steps. Get professional advice before you start.
The Registration Process, Applied to Jammu and Kashmir
The steps are the same as everywhere else in India:
- Get digital signature certificates for the designated partners.
- Choose a name and check it's available, or reserve it with RUN-LLP.
- File the incorporation form (FiLLiP) with details of the partners, designated partners and the Jammu and Kashmir registered office.
- Receive the certificate of incorporation with your LLPIN.
- Sign the LLP agreement on stamp paper and file it in Form 3 within 30 days of incorporation.
- Open a bank account and complete GST and other registrations as needed.
At least two designated partners must be individuals, and at least one must be resident in India, meaning someone who has stayed in India for at least 120 days in the previous financial year. Practitioners commonly quote about 10 to 15 working days for the whole registration, assuming the documents are in order and the Registrar raises no queries.
Stamp Duty on the LLP Agreement in Jammu and Kashmir
Stamp duty is set by the state or union territory, and it's the step where locations differ most. In Jammu and Kashmir, the LLP agreement is stamped under the stamp law that applies there, and the duty usually depends on the partners' capital contribution.
Rates change from time to time, and figures published online aren't always current, so confirm the duty with the Jammu and Kashmir stamps and registration authority, or ask the professional preparing your agreement, before you sign. Keep the stamped agreement, because you'll need it for the Form 3 filing.
Local Registrations After Incorporation
Incorporation is only the start. Depending on what your LLP does, a few local registrations apply:
- Shops and establishments: Jammu and Kashmir's shops and establishments law applies to commercial establishments, including an LLP's office. Register with the Labour Department.
- Professional tax: check with the Jammu and Kashmir Commercial Taxes Department whether professional tax applies to your LLP and its employees, and at what rates.
- GST: registration is compulsory once turnover crosses ₹40 lakh for goods and ₹20 lakh for services in Jammu and Kashmir, and for inter-state supplies of goods or selling through e-commerce platforms regardless of turnover. A business registered in Jammu and Kashmir gets a GSTIN starting with the state code 01.
- Trade licence: an office within the Srinagar or Jammu Municipal Corporation, or another local body area, usually needs a trade licence.
Annual Compliance Is Central, Not Location-Specific
After registration, the annual obligations are the same in Jammu and Kashmir as anywhere else, and they apply even if the LLP has no business:
- Form 11 (annual return) by 30 May.
- Form 8 (statement of account and solvency) by 30 October.
- ITR-5 by 31 July, or 31 October if a tax audit applies.
- An audit if turnover exceeds ₹40 lakh or partners' contribution exceeds ₹25 lakh.
Filing Form 8 or Form 11 late attracts an additional fee of ₹100 per day per form, with no upper limit. Local filings, such as professional tax returns where they apply, run on separate calendars, so a single shared compliance calendar is the easiest way to avoid missing any of them.
