LLP Registration in Arunachal Pradesh: What Founders Need to Know
An LLP is registered under a central law, but a few things change when your business is in Arunachal Pradesh: the Registrar, the stamp duty and local registrations.
A Limited Liability Partnership in India is created under a central law, the LLP Act, 2008, and registered online through the Ministry of Corporate Affairs (MCA). That's true wherever your office is. But a few parts of the process depend on where your LLP is based, and it helps to know which ones before you begin.
This guide focuses on the parts that are specific to Arunachal Pradesh.
Why Founders in Arunachal Pradesh Choose an LLP
Arunachal Pradesh has a smaller but growing base of businesses, centred on Itanagar and Naharlagun, with businesses in tourism, hydropower services, construction, agriculture and forest-based products. Many of the businesses that set up here are consultancies, agencies, traders, contractors and professional practices, which is exactly the kind of business the LLP structure suits:
- Partners' personal assets are generally protected, since their liability is limited to their agreed contribution.
- There's no minimum capital requirement.
- Compliance is lighter than for a company, with no board meetings or annual general meetings.
- Profit sharing and roles are set by the LLP agreement rather than by shareholding.
The main trade-off is fundraising. An LLP can't issue shares, so if you expect to raise venture capital, a Private Limited Company is usually the better choice.
The state's industrial and startup policies offer incentives for local enterprise, and central schemes for the North East, such as those run through the Ministry of Development of North Eastern Region, add further support for eligible units. These don't change how the LLP is incorporated, but they affect which approvals and incentives it may apply for afterwards.
Which Registrar Handles LLPs in Arunachal Pradesh?
Incorporation applications are processed centrally by the MCA's Central Registration Centre. After that, an LLP whose registered office is in Arunachal Pradesh falls under the Registrar of Companies, Shillong, which covers most of the north-eastern states for its later filings. Everything is submitted online, so you won't need to visit either office.
Registered Office Requirements
Your LLP needs a registered office address in India, and for a Arunachal Pradesh registration that address must be in the state. The usual documents are:
- A recent utility bill (electricity, water or gas) as address proof.
- If the premises are owned, proof of ownership. If they're rented, the rent agreement and a no-objection certificate from the owner.
A residential property can generally be used as the registered office, as long as you have the owner's NOC where it isn't your own.
If you already have an LLP registered elsewhere and want to move it to Arunachal Pradesh, that's a change of registered office across states or union territories, which involves extra steps. Get professional advice before you start.
The Registration Process, Applied to Arunachal Pradesh
The steps are the same as everywhere else in India:
- Get digital signature certificates for the designated partners.
- Choose a name and check it's available, or reserve it with RUN-LLP.
- File the incorporation form (FiLLiP) with details of the partners, designated partners and the Arunachal Pradesh registered office.
- Receive the certificate of incorporation with your LLPIN.
- Sign the LLP agreement on stamp paper and file it in Form 3 within 30 days of incorporation.
- Open a bank account and complete GST and other registrations as needed.
At least two designated partners must be individuals, and at least one must be resident in India, meaning someone who has stayed in India for at least 120 days in the previous financial year. Practitioners commonly quote about 10 to 15 working days for the whole registration, assuming the documents are in order and the Registrar raises no queries.
Stamp Duty on the LLP Agreement in Arunachal Pradesh
Stamp duty is set by the state or union territory, and it's the step where locations differ most. In Arunachal Pradesh, the LLP agreement is stamped under the stamp law that applies there, and the duty usually depends on the partners' capital contribution.
Rates change from time to time, and figures published online aren't always current, so confirm the duty with the Arunachal Pradesh stamps and registration authority, or ask the professional preparing your agreement, before you sign. Keep the stamped agreement, because you'll need it for the Form 3 filing.
State-Level Registrations After Incorporation
Incorporation is only the start. Depending on what your LLP does, a few state and local registrations apply:
- Shops and establishments: check whether the state's shops and establishments rules apply to your office, and register with the Labour Department if they do.
- Professional tax: Arunachal Pradesh doesn't currently levy a state professional tax, so there's no enrolment or deduction to set up. If the LLP has staff or offices in other states, those states' professional tax rules still apply there.
- GST: registration is compulsory once turnover crosses ₹20 lakh for both goods and services in Arunachal Pradesh, and for inter-state supplies of goods or selling through e-commerce platforms regardless of turnover. A business registered in Arunachal Pradesh gets a GSTIN starting with the state code 12.
- Trade licence: an office in Itanagar or another municipal area may need a trade licence from the local municipal body.
- Inner Line Permit: founders, directors and staff who aren't from the state need an Inner Line Permit to enter Arunachal Pradesh. Plan for this before site visits and when hiring from outside the state.
Annual Compliance Is Central, Not State-Specific
After registration, the annual obligations are the same in Arunachal Pradesh as anywhere else, and they apply even if the LLP has no business:
- Form 11 (annual return) by 30 May.
- Form 8 (statement of account and solvency) by 30 October.
- ITR-5 by 31 July, or 31 October if a tax audit applies.
- An audit if turnover exceeds ₹40 lakh or partners' contribution exceeds ₹25 lakh.
Filing Form 8 or Form 11 late attracts an additional fee of ₹100 per day per form, with no upper limit. Local filings, such as professional tax returns where they apply, run on separate calendars, so a single shared compliance calendar is the easiest way to avoid missing any of them.
