Director Changes and DIN Compliance in Telangana: ROC Hyderabad and Disqualified DINs

Director rules for Telangana companies: ROC Hyderabad's role, disqualified DINs and the options, unrecorded resignations, and NRI directors.

Director appointments, resignations and DIN compliance follow the Companies Act and apply the same way across India. But for companies registered in Telangana, the Registrar, the tribunal and the court that come into play when things go wrong are local. This guide covers the director rules in brief, and what a Telangana company or director should know about the local side.

The Basics for Every Telangana Company

  • Every director needs a DIN, kept active through DIR-3 KYC. A deactivated DIN costs ₹5,000 to reactivate.
  • A private company needs at least two directors, and at least one director who stayed in India for 182 days or more in the financial year.
  • Every appointment, resignation, removal or change in designation is filed in DIR-12 within 30 days.
  • Each director gives an MBP-1 disclosure of interest and a DIR-8 declaration at the first board meeting of every financial year.

ROC Hyderabad and Director Filings

For companies with their registered office in Telangana, the Registrar of Companies, Hyderabad holds the company's records, including its director list. DIR-12 and other director filings are made online on the MCA portal, and ROC Hyderabad is the office that raises queries on them, and that issues notices and penalty orders for defaults such as a late DIR-12 or failure to maintain the minimum number of directors.

Disqualified DINs

Many directors in Telangana, as elsewhere, have found their DIN marked disqualified because a company they were on stopped filing. The rule is strict: if a company doesn't file its financial statements or annual returns for three continuous years, every director on its board is disqualified for five years, from all companies.

This often catches directors of companies that were abandoned rather than closed, or directors who resigned without their exit ever being recorded. Options depend on the facts, and can include:

  • Bringing the defaulting company's filings up to date, where it's still active.
  • Applying to the Hyderabad bench of the NCLT to restore a struck-off company, so it can file what's pending.
  • Challenging the disqualification itself, which is a legal matter typically taken to the High Court for the State of Telangana.

None of these is quick or cheap, which is why closing a company properly, or recording a resignation properly, matters so much.

Resignations That Weren't Recorded

A common situation in Hyderabad's startup ecosystem is a co-founder who left years ago but still appears as a director on the MCA record, because DIR-12 was never filed. If the company later defaults, they can be held responsible. A departing director can protect themselves by filing DIR-11 within 30 days of resigning. Where that window has passed, it's worth getting the company to file DIR-12, even late, to correct the record.

NRI and Foreign Directors

Many Telangana companies have NRI founders or foreign investors on the board. They can be directors, with a DIN and DSC obtained using a passport and apostilled or consularised address proof. But at least one director must be resident in India for 182 days or more in the financial year, so a board made up entirely of founders living abroad doesn't meet the rule.

After a Director Change

Once DIR-12 is filed, the change needs to reach the company's other records too:

  • Bank: update the authorised signatories with a fresh board resolution and the new director's KYC.
  • GST: amend the GST registration to add or remove the director.
  • Registers: update the company's register of directors.
  • State registrations: update Shops and Establishments and other Telangana registrations that record the company's directors or authorised persons.

A Checklist for Telangana Directors

  1. Keep your DIN active, and file KYC whenever it's due.
  2. Know the filing status of every company you're a director of.
  3. When you resign, make sure DIR-12 is filed, or file DIR-11 yourself within 30 days.
  4. Keep at least one resident director on the board at all times.
  5. After any change, update the bank, GST and state registrations.
