Consolidated Financial Statements for Telangana Groups: Subsidiaries and ROC Hyderabad Filings

How Telangana groups prepare and file consolidated financial statements with ROC Hyderabad, including subsidiaries in other states and overseas.

Many Telangana businesses grow into groups: a Hyderabad parent with subsidiaries in other states, overseas entities, or investments in associates and joint ventures. Once they do, consolidated financial statements become part of the annual cycle. This guide covers what that means for a company registered in Telangana.

The Filing With ROC Hyderabad

A Telangana parent files its standalone financial statements in AOC-4 and its consolidated statements in AOC-4 CFS with the Registrar of Companies, Hyderabad, within 30 days of its AGM. AOC-1, summarising each subsidiary, associate and joint venture, is attached to the financial statements.

Subsidiaries Registered in Other States

A subsidiary registered outside Telangana files its own standalone accounts with its own state's ROC — a Bengaluru subsidiary with ROC Bengaluru, for example. But it's consolidated into the Telangana parent's group accounts, which are filed in Hyderabad. The group timetable has to allow for each subsidiary's own audit and AGM.

Overseas Subsidiaries

Telangana's IT, pharma and services companies frequently have subsidiaries in the US, Europe, the Middle East or Singapore. These are consolidated after translating their accounts into rupees and aligning their accounting policies. Separately, investments in overseas subsidiaries are subject to India's overseas investment rules under FEMA, with their own reporting — worth keeping in step with the consolidation figures.

Timing Around the AGM

The consolidated statements are laid before the parent's AGM along with the standalone statements, which must be held by 30 September. If a subsidiary's accounts, particularly an overseas one, are delayed, the group's accounts are delayed too. A Telangana parent that can't hold its AGM on time can apply to ROC Hyderabad in Form GNL-1 for an extension of up to three months — but planning the group timetable early is far better.

Group Companies Within Telangana

Where several group companies are all in Telangana, the intercompany picture often includes shared premises, common staff and cost recharges. These need proper agreements and consistent invoicing, both for consolidation and for GST, since supplies between separately registered group companies can be taxable.

A Checklist for Telangana Groups

  1. List every subsidiary, associate and joint venture, wherever registered.
  2. Set a group close and audit timetable that works back from the parent's AGM.
  3. Confirm intercompany balances quarterly.
  4. Obtain overseas subsidiaries' accounts early.
  5. Prepare AOC-1 and file AOC-4 CFS with ROC Hyderabad alongside AOC-4.
