Company Mergers in Telangana: NCLT Hyderabad Bench, Regional Director and Stamp Duty
Practical points for mergers involving Telangana companies — the NCLT Hyderabad Bench, the Regional Director for fast-track mergers, Telangana stamp duty and transfer of state registrations.
Companies with registered offices in Telangana follow the same Companies Act process as elsewhere, but deal with the authorities located in Hyderabad. This guide covers the local points.
NCLT Hyderabad Bench
The NCLT's Hyderabad Bench hears schemes of companies registered in Telangana and Andhra Pradesh. Where companies in a scheme are registered in different states, applications may need to be filed with more than one bench, or combined as the rules allow. Timelines depend on the bench's workload, so file complete applications to avoid adjournments.
Regional Director
For fast-track mergers and for representations on NCLT schemes, the relevant Regional Director of the Ministry of Corporate Affairs for Telangana is based in Hyderabad. The ROC for Telangana is also in Hyderabad.
Telangana Stamp Duty
Telangana levies stamp duty on instruments including NCLT orders sanctioning schemes. The duty depends on how the instrument is classified and the value transferred, particularly immovable property in the state. Get a clear assessment before finalising the scheme, as it can be a significant cost.
Transferring State Registrations
- GST registrations: the transferee obtains or updates registration, and transfers input tax credit.
- Professional Tax and Shops and Establishments registrations.
- Factory licences, pollution control consents and TG-iPASS approvals.
- Land allotments from TGIIC (formerly TSIIC), which may need consent for transfer.
- Property records with the Registration Department and local bodies.
Incentives
Companies receiving state industrial incentives should check whether a merger affects eligibility, and get approvals where needed.
