Auditor Appointment for Telangana Companies: ROC Hyderabad and Regional Director Approvals
Auditor appointments for Telangana companies: ADT filings with ROC Hyderabad, removal approvals from the Regional Director, and choosing an auditor in Hyderabad.
The rules for appointing and changing a company's statutory auditor come from the Companies Act and apply across India. For a company registered in Telangana, the filings go to ROC Hyderabad, removal applications to the Regional Director with jurisdiction over the state, and there's a large local pool of Chartered Accountants to choose from. This guide covers the local side of auditor appointments.
The Basics for Telangana Companies
- The board appoints the first auditor within 30 days of incorporation.
- At the first AGM, shareholders appoint an auditor for a five-year term.
- The company files ADT-1 within 15 days of each appointment at a general meeting.
- A resigning auditor files ADT-3 within 30 days, and the board fills the vacancy within 30 days.
- Removing an auditor mid-term needs the Regional Director's approval and a special resolution.
ROC Hyderabad
For companies with their registered office in Telangana, ADT-1 and the related filings are processed by the Registrar of Companies, Hyderabad. Filings are made online on the MCA portal. ROC Hyderabad is also the office that raises queries on these filings, and issues notices where a company has failed to appoint an auditor or file ADT-1.
Removing an Auditor: The Regional Director
If a Telangana company wants to remove its auditor before the end of the term, it applies in Form ADT-2 to the Regional Director with jurisdiction over Telangana, within 30 days of the board's resolution. The Regional Director gives the auditor a chance to be heard before deciding. Only after approval can the shareholders pass the special resolution for removal.
Choosing an Auditor in Hyderabad
Hyderabad has a large community of Chartered Accountants, and the ICAI has a branch in the city under its Southern India Regional Council. When choosing an auditor:
- Check the CA or firm is a member of the ICAI with a current certificate of practice. The ICAI lets you verify membership and firm registration.
- Make sure they have experience with companies of your size and sector.
- Confirm they're independent of the company and its directors, with no relatives holding shares and no business relationship beyond the permitted limits.
- Keep your statutory auditor separate from whoever does your bookkeeping and internal audit, since Section 144 prohibits the statutory auditor from providing those services.
- Ask whether they'll also handle the tax audit, if your turnover requires one, since the same auditor can do both.
Other Audits Telangana Businesses May Need
The statutory audit under the Companies Act isn't the only audit a Telangana business may face. Depending on turnover and activity, it may also need a tax audit under the Income-tax Act. These are separate engagements with separate reports, though they're usually based on the same audited accounts, and the same CA often handles them.
A Checklist for Telangana Companies
